End User License Agreement

FLO - Finance Ledger Operations  |  Effective date: August 30, 2026

This End User License Agreement ("Agreement") is between Spear One Solutions LLC ("Company," "we," "us") and the authorized user of FLO - Finance Ledger Operations ("FLO," "the Software"), a private, internal application that connects to QuickBooks Online for automated accounting and financial-reporting workflows. FLO is not publicly distributed; it is licensed solely to Spear One Solutions LLC personnel and authorized contractors for internal business use.

By accessing or using FLO, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Software.

1. License Grant

Subject to the terms of this Agreement, Spear One Solutions LLC grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use FLO solely for internal business purposes on behalf of Spear One Solutions LLC. No license is granted to any party outside the Company, and this Agreement does not create any right to resell, sublicense, or redistribute FLO.

FLO, including its source code, design, and underlying automation logic, is and remains the property of Spear One Solutions LLC. This Agreement does not transfer any ownership rights. All QuickBooks Online data accessed through FLO remains the property of Spear One Solutions LLC and is subject to Intuit's own terms governing QuickBooks Online.

4. Data & Privacy

FLO's collection and use of data accessed through QuickBooks Online is governed by our Privacy Policy, which is incorporated into this Agreement by reference.

5. Disclaimer of Warranty

FLO is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Spear One Solutions LLC does not warrant that FLO will be error-free, uninterrupted, or that financial data processed through it will be free of defects. Users remain responsible for reviewing and verifying any financial data or transactions created or modified through FLO before relying on them.

6. Limitation of Liability

To the maximum extent permitted by law, Spear One Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to the use of, or inability to use, FLO, even if advised of the possibility of such damages.

7. Term & Termination

This Agreement remains in effect until terminated. Spear One Solutions LLC may suspend or terminate an authorized user's access to FLO at any time, with or without cause, including upon termination of that individual's employment or engagement with the Company. Upon termination, all rights granted under this Agreement immediately cease.

8. Changes to This Agreement

We may update this Agreement from time to time. When we do, we will update the "Effective date" at the top of this page. Continued use of FLO after any change constitutes acceptance of the updated Agreement.

9. Governing Law

This Agreement is governed by the laws of the State of Texas, United States, without regard to its conflict-of-law provisions.
